Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the https://www.wooninja.io website, and it’s associated subdomains (the “Service”) operated by WooNinja.io (“us”, “we”, or “our”).

Where applicable, ‘plugin’ refers to WordPress plugins, whereas our digital services and offerings are collectively termed “software”. For the purposes of this document ‘plugin’ and ‘software’ are to be considered interchangeable terms.

Warranty

Plugins sold and distributed by WooNinja. are done so in the hope that they will be useful, but WITHOUT ANY WARRANTY; without even the implied warranty of MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE. In as much as WordPress functions correctly on a clean install of itself, WooNinja is guaranteed to function on a clean install of the minimum, stable and required version of WordPress for WooNinja and extensions. Because the number and variety of plugins are vast and wide, we do not guarantee that the plugin will function with all third-party plugins, themes or browsers of any kind. We do not assume responsibility and will not be held responsible for any conflicts or compatibility issues that may occur due to third-party software. We assume no responsibility for any data loss as a result of installing or using WooNinja. Should conflicts occur with third-party software, we may provide support at our discretion.

WooNinja assumes you will be using the latest, or or last major, release of a given partner plugin. For example, all our WooCommerce extensions assume you are using WooCommerce 5.0 or higher. For PHP, we assume you are using 7.3 or higher. WooNinja does not support PHP 5.X or earlier.

Support

WooNinja sells and distributes software and other plugins “as is” and with no implied meaning that they will function exactly as you would like, or that they will be compatible with all third-party components and plugins. Support for plugins sold and distributed by WooNinja is only available for those who have an active, paid license.

Support and updates are granted for one year after the original purchase based on the license you have purchased. After one year is completed, the purchaser must renew their license in order to continue receiving support and updates for the items purchased. For purchases that include an automatically renewing subscription, support will be provided for as long as the subscription remains active.

Support and updates for WooNinja are provided as long as WooNinja is actively in development. Should any one of the following occur, WooNinja will no longer be responsible for providing support for WooNinja:

  • WooNinja is no longer actively developed by the team who were developing it at the time of your purchase.
  • WooNinja or the parent company is purchased or bought out by another company.
  • WordPress, PHP (collectively ‘platforms’) are no longer actively developed.

Whilst we attempt to provide the best support possible for our plugins, we do not guarantee that any particular support query can, or will be answered to the extent, or within a timeframe that the inquirer is completely satisfied.

Automatic Updates

Automatic updates are available to license holders who have an active and valid subscription and license key. Automatic updates are available for WooNinja and all other installed WooNinja extensions. Automatic updates are available as long as the license key generated from the purchase is valid and active.

License Usage

WooNinja grants each customer one or more non-transferable license(s) to use the software for internal use, and as defined by the terms set in the customer’s chosen license package. Where the license package allows the software to be used on multiple sites the customer/license-holder may not on-sell the originally-purchased license key provided by WooNinja to other users of the license (such as clients) for commercial benefit. Additionally, the customer may not sublicense, to any person or entity, any rights to distribute the software or license key. We will only provide support services to the original customer/license-holder with a legitimate license key, and consider any other uses of this license key for support queries as fraudulent. WooNinja reserves the right to cancel, without refund or cause, any key that is believed to have been shared, resold or otherwise in use by an individual or corporation that was not the original purchaser.

Plugin Delivery

After we have processed your payment successfully, you will receive an email with your order number and other purchase information. Your license key is available in your account area along with your plugin downloads. You can download the plugin by logging into the account created for you when purchasing the plugin and clicking on the appropriate link. Should you not receive an email containing your information, you can contact us through our contact page to request your purchase information.

Access to re-download purchased files will be granted so long as your license key is valid. If a license key expires, download access to the associated files will be discontinued until such time as the license key is renewed. We do not permit users to download prior versions of our software, even if they held a valid license key at the time of its release.

We retain the right to limit, disable or otherwise reduce the functionality of our plugins upon the expiration of a license.

Service Delivery

We will make our best effort to schedule any services with you within a reasonable timeframe however you understand that we may be unable to schedule you immediately or at your first available opportunity.

We operate during business hours in the EST time zone only. If you require a service outside of this time frame, you must contact us prior to purchase and receive written approval from us for this arrangement. We reserve the right to levy an out of hours fee.

All services are limited to a cumulative total of 90 minutes. This time includes all aspects of the service including but not limited to the initial consultation, screen share and follow up call(s).

You will be liable to a $50 fee, at our sole discretion, if any of the following occur:

  • You do not attend your service at the scheduled time or within 10 mins of the start of your scheduled time.
  • You reschedule your service with less than 2 hours notice to us.
  • Your internet or environment e.g. Noise is not conducive to a meaningful call and/or you curtail or other choose not to continue the call during your chosen time.

Services are only refundable as long as you have not booked a service. After you have booked a service, that is selected a time and date for your call, the service is deemed to be used, regardless of if you have received any further communication from us, and you forfeit all rights to refund.

Ownership

All plugins and “software” are the property of WooNinja. Claiming any type of intellectual or exclusive ownership rights of our products is strictly prohibited. Our software is provided “as is” without warranty of any kind, expressed or implied. We shall not be liable for any damages, including but not limited to, direct, indirect, special, incidental or consequential damages or losses that occur due to the use or inability to use our plugins.

Website & Plugin Content

All content found on this site and throughout the plugin including images, documentation, support queries and any other information is the property of WooNinja and may not be redistributed without permission or consent.

Pricing

WooNinja reserves the right to modify, change, cancel or upgrade a software subscription and/or license key without prior notice or consent. Prices of all products are subject to change without prior notice or consent.

Unless otherwise stated, all prices are listed in United States Dollars.

Refund Policy

WooNinja firmly believes in and stand behind our products, but we understand that they may not work perfectly for everyone all of the time. If you are unhappy with your purchase, or you have an issue that we are unable to resolve that makes the system unusable, we will be happy to consider offering a refund. Refunds will be offered at our sole discretion and must meet all of the following conditions fully:

  • You are within the first 30 days of the purchase of the the software.
  • Your issue(s) comes from not being able to install the plugin properly or get the plugin to perform its basic functions.
  • Your issue is not related to your plan, available feature set or support from a third-party provider to which our plugin has a dependency e.g. API Access
  • You have attempted to resolve your issue(s) with our support team and the support team of the partner, where applicable.
  • You have not activated any license key.
  • You are utilizing up to date and current partner software, including plugins, and PHP versions.
  • In the case of ‘All Access’ or otherwise multi download purchases, you have not downloaded more than one package.

No refunds will be granted after the first 30 days of the original purchase whatsoever.

For subscriptions, the total refundable amount is the previous billing cycle.

No refunds will be granted if you change your mind or otherwise decide not to use our software following purchase. If you have doubts as to the usability or feature set of our software for your use case(s), you are required to make this known prior to purchase of our software.

No refund will be granted if you purchase incorrect plugin(s) and/or bundle(s). You must review your cart prior to checkout and if you have queries regarding the usability or feature set of your chosen plugin(s) or bundle(s) you must contact us prior to purchase.

Issues caused by 3rd party plugins, themes or other software will not provide grounds for a refund.

By purchasing plugin(s) from our site, you agree to this refund policy and relinquish any rights to subject it to any questions, judgment or legal actions.

Email & Marketing

WooNinja may occasionally send you emails related to the purchase of product(s) from our company. We may also send you occasional email newsletters relating to WooNinja updates and promotions. We will never sell or release your email to any third party vendors. You may opt-out of these emails at any time without penalty.

License Agreement

By purchasing our product(s), you indicate and consent that you have read and agree to the Terms & Conditions listed and detailed on this page. We reserve the right to change or modify the current Terms and Conditions without prior notice or consent.

Severability

If any part of this agreement is declared unenforceable or invalid, all remaining clauses in this agreement shall remain binding on the customer.

Data Transfer

We offers a number of services that may interact, gather or otherwise move your data between systems. These systems may be owned by us, you or a third party. As we does not own or operate the applications that it helps you connect with, there are times when data transfer may be delayed, corrupted or not possible. We make no guarantee for the timely and/or correct delivery of your data between systems, including our own. We is not liable for any damage, however caused, brought about by the use of our services.

Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Payments & Charges

Some of our software operates on a transactional fee basis requiring all users to pay a fee to utilise our service. This fee is payable, in full, when due during a transaction.

Where we process payments on behalf of your customers, you are responsible for ensuring they can access and utilise your products. In the event of your customer commencing a charge back or refund against you, we reserve the right to levy a processing fee of our discretion to your account.

We reserve the right to make changes to our prices and/or offer discounts for new/existing users without notice to you.

For some payment processors, there is a delay between the time the payment is taken and this payment is transferred to your account. In general, this delay can be a few minutes but may take longer depending on the payment type. We make no garuentee or promises as to the timeliness, or completition, of transactions.

Where applicable, you are responsible for collecting applicable sales tax from your customers and/or issuing tax receipts.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service and contact us immediately.

Termination

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Our Service may contain links to third-party web sites or services that are not owned or controlled by WooNinja.io.

WooNinja.io has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that WooNinja.io shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Children’s Privacy

Our Service does not address anyone under the age of 18 (“Children”).

We do not knowingly collect personally identifiable information from anyone under the age of 18. If you are a parent or guardian and you are aware that your Children has provided us with Personal Data, please contact us. If we become aware that we have collected Personal Data from children without verification of parental consent, we take steps to remove that information from our servers.
